1. Agreement to Terms
By accessing or using ZIMA (the "Service"), operated by Taylor Tech ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
The Service is a multi-model AI chat application that provides access to various large language models (LLMs) from providers including OpenAI (GPT), Anthropic (Claude), and Google (Gemini) through a unified interface, together with related features such as image generation, video generation, realtime voice chat, dictation (speech-to-text), web search, and optional Google Drive and Gmail connectors. The specific models and features available may change over time and vary by subscription tier and platform.
2. Eligibility
You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.
3. Account Registration and Security
3.1 Account Creation
To use certain features of the Service, you must create an account by signing in with Google, signing in with Apple, or registering with an email address and password. You may also use a limited guest tier without an account. You agree to provide accurate and complete information during registration.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Not share your account with others
- Notify us immediately of any unauthorized access to your account
- Not create multiple accounts for the purpose of abusing the Service
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time for:
- Violation of these Terms
- Abuse of the Service or other users
- Illegal activity
- Non-payment of subscription fees
- Extended periods of inactivity (one year or more)
- Any other reason at our sole discretion
4. Subscription and Payment Terms
4.1 Tiers
The Service offers three tiers:
- Guest (free, no account): Limited daily usage with free models and text-only chat. Guest conversations are stored locally on your device and are not synced to an account.
- Free (free, requires sign-in): Larger daily allowances, free models, and additional features such as image generation, video generation, and cross-device sync.
- Pro ($20/month): Everything in Free, plus access to premium models and substantially larger daily allowances.
4.2 Usage Limits
Use of each tier is subject to token-based allowances (including standard, premium, image-generation, video-generation, and voice allowances), rate limits (currently 10 requests per minute on the Guest and Free tiers and 60 requests per minute on Pro), and a fair-use limit on total conversation context. The current allowances for each tier are shown on the in-app subscription and Usage screens and may be adjusted from time to time; material changes will be communicated in the app.
4.3 Billing
- On the web, subscriptions are billed monthly through Stripe
- On iOS and Android, subscriptions are purchased through Apple App Store or Google Play in-app purchase and are managed through your app-store account
- Payment is due at the beginning of each billing cycle
- All fees are in US dollars unless otherwise stated
4.4 Cancellation and Refunds
- You may cancel your subscription at any time (Stripe-billed subscriptions: through the app settings; app-store purchases: through your Apple or Google subscription settings)
- Upon cancellation, your subscription will remain active until the end of the current billing period
- For Stripe-billed subscriptions, if you request immediate cancellation we will cancel your subscription and provide a prorated refund for the remaining days in your billing period; otherwise no refunds are provided for partial months
- For purchases made through the Apple App Store or Google Play, billing and refunds are handled by Apple or Google under their respective policies, and refund requests must be made through the store
4.5 Price Changes
We reserve the right to change subscription prices with at least 30 days' advance notice. Price changes will take effect at the start of your next billing cycle following the notice period. Continued use of the Service after a price change constitutes acceptance of the new pricing.
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service for lawful purposes in accordance with these Terms. The Service is intended for personal, non-commercial use unless otherwise agreed.
5.2 Prohibited Conduct
You agree NOT to use the Service to:
Illegal Activities:
- Violate any applicable laws or regulations
- Generate content that promotes illegal activities
- Engage in fraud, identity theft, or financial crimes
Harmful Content:
- Generate malware, viruses, or malicious code
- Create content that promotes violence or terrorism
- Produce child sexual abuse material (CSAM) or content sexualizing minors
- Generate content that promotes self-harm or suicide
Abuse and Harassment:
- Harass, bully, or threaten other individuals
- Generate hate speech or content that discriminates based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
- Impersonate other individuals or entities
- Stalk or invade the privacy of others
Deception:
- Create deepfakes or misleading content intended to deceive
- Generate fake news or disinformation
- Misrepresent AI-generated content as human-created
System Abuse:
- Attempt to bypass rate limits or usage restrictions
- Reverse engineer, decompile, or disassemble the Service
- Use automated systems (bots, scrapers) to access the Service without permission
- Interfere with or disrupt the Service's infrastructure
Third-Party Violations:
- Infringe on intellectual property rights of others
- Violate the terms of service of underlying AI providers (OpenAI, Anthropic, Google)
5.3 AI Provider Terms
The Service utilizes AI models from third-party providers. By using the Service, you also agree to comply with:
6. Intellectual Property
6.1 Service Ownership
The Service, including its design, features, and content (excluding user-generated content), is owned by Taylor Tech and protected by copyright, trademark, and other intellectual property laws.
6.2 User Content Ownership
You retain ownership of all content you create using the Service ("User Content"). We do not claim ownership of your conversations or outputs generated through your use of the Service.
6.3 Limited License to User Content
By using the Service, you grant us a limited license to store and process your User Content solely for the purpose of providing the Service to you. We do NOT use your conversations to train AI models or for any purpose other than delivering the Service.
6.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without compensation or attribution.
7. AI-Generated Content Disclaimers
7.1 No Professional Advice
AI-generated content is NOT professional advice. The Service should not be used as a substitute for:
- Medical, health, or mental health advice from licensed professionals
- Legal advice from qualified attorneys
- Financial or investment advice from licensed advisors
- Any other professional guidance requiring licensure or certification
7.2 Accuracy Disclaimer
AI-generated content may contain errors, inaccuracies, or outdated information. You acknowledge that:
- AI models can "hallucinate" and generate false information
- Responses may be incomplete or misleading
- The Service does not guarantee the accuracy of any output
- You are responsible for verifying information before relying on it
7.3 Third-Party AI Disclaimers
The underlying AI models are provided by third parties. Please review their respective disclaimers:
- OpenAI: AI outputs may be inaccurate and should be verified
- Anthropic: Claude may make mistakes and outputs should be reviewed
- Google: AI-generated content should be verified for accuracy
8. Disclaimers and Limitation of Liability
8.1 Service Provided "As-Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8.2 No Guarantee of Availability
We do not guarantee that the Service will be:
- Available at all times or uninterrupted
- Free of errors, bugs, or security vulnerabilities
- Compatible with all devices or systems
8.3 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAYLOR TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Taylor Tech, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you generate using the Service
10. Dispute Resolution
10.1 Informal Resolution
Before filing any formal legal action, you agree to contact us atteam@zimaapp.com to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 60 days.
10.2 Binding Arbitration
If we cannot resolve the dispute informally, any controversy or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules.
Arbitration Terms:
- Arbitration will take place in California, United States
- The arbitration will be conducted in English
- The arbitrator's decision will be final and binding
- Judgment on the arbitration award may be entered in any court of competent jurisdiction
10.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in class actions against Taylor Tech.
10.4 Small Claims Exception
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
10.5 Opt-Out
You may opt out of arbitration by sending written notice toteam@zimaapp.com within 30 days of first accepting these Terms. If you opt out, disputes will be resolved in the state or federal courts of California.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
12. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms in the app
- Updating the "Last Updated" date
- Sending an email notification for significant changes
Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms.
13. General Provisions
13.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Taylor Tech regarding the Service.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
13.3 Waiver
Our failure to enforce any provision of these Terms shall not be considered a waiver of that provision or the right to enforce it later.
13.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
